A Different Approach to Selling a Medical Practice

What If You Could Receive 5x Collections for Your Medical Practice?

Zenyte Holdings is assembling portfolios of medical practices in four specialties:

Cardiology • Pain Management • Internal Medicine • Family Practice

Rather than selling individual practices directly to private equity, participating practices are combined into a larger portfolio designed to be valued through the public markets for 5x collections or more.

You don't have to decide today whether you want to sell your practice.

You have approximately six months to evaluate the strategy, review the offers you receive, and decide for yourself.

No money out of pocket to get started. No obligation to sell. You remain in control.

How the Strategy Works

1.

Your Practice Joins a Zenyte Portfolio

Zenyte assembles practices within Cardiology, Pain Management, Internal Medicine and Family Practice into portfolios rather than attempting to sell each practice individually. The completed portfolios are sold through the public markets and are not sold to Private Equity.

This creates the size, diversification and scale sought by larger buyers.

2.

VSD Becomes the Nexus

Each participating practice acquires the VSD ancillary offered by VS Diagnostics.

VSD is the common operating element—or nexus—connecting practices from different specialties into an ancillary-based healthcare portfolio.

Instead of twenty unrelated medical practices, the objective is to create one larger, connected healthcare portfolio.

3.

The Portfolio Is Taken to the Public Markets

Zenyte uses their publicly traded company to position the completed portfolio for public-market valuation.

The strategy is designed to achieve valuations of 5x collections or more, with that portfolio valuation flowing down to the participating practices.

4.

You Review Your Offers

You will receive offers approximately 90 days after completing enrollment and providing the necessary financial information.

You then decide whether those offers are attractive enough for you to proceed.

5.

You Decide What to Sell

You control the decision.

Depending upon the transaction available to you, you may decide to:

Sell your entire practiceSell only a percentageSell portions over timeContinue practicingOr decline the opportunity

There is no requirement that you sell simply because you evaluated the program.

Why Would Someone Pay 5x Collections?

That's one of the most important questions you should ask.

The strategy isn't based upon a buyer purchasing one medical practice and keeping it as a standalone business.

The objective is to acquire practices at 5x collections or more, combine them into a substantially larger healthcare portfolio, and ultimately achieve a higher valuation for the completed portfolio.

The difference between the acquisition valuation and the eventual portfolio valuation creates the economic opportunity.

Public-Market Valuation

This is fundamentally different from selling a single medical practice to another doctor or negotiating an EBITDA-based transaction with private equity.

Three Markets for Selling a Medical Practice

Most doctors are familiar with only two.

Main Street

The buyer is frequently another doctor or small medical group.

Valuations can be relatively low, financing may be limited, and the seller may even be asked to carry part of the purchase price.

Private Equity

Private equity generally focuses heavily on EBITDA and profitability.

For many smaller and midsized practices, achieving the EBITDA required to attract serious private-equity interest can be difficult.

Public Markets

The Zenyte strategy takes a different approach.

Practices are assembled into a portfolio with VSD as the ancillary nexus and positioned for valuation through the public markets.

Target valuation: 5x collections or more.
